introduction
this document provides information for foreign investors and foreign-funded enterprises that are interested in investing in opportunities in the business subdistrict of qianhai in shenzhen china.
foreign investors or foreign-funded enterprises investing in jurisdictions other than those approved by the special administrative measures for foreign investment admittance in the pilot free trade zone (ie., items on the negative list, economic fields not currently open to foreign investment) shall register in accordance with the principles for domestic investment companies. if a foreign investor or foreign-invested enterprise invests in fields with restrictive provisions on the proportion of capital contribution, the nationality of its legal representative or principal and the like in the negative list and meets the requirements of the negative list, it shall be registered according to law; if the industrial authority has approved the relevant business license matters concerning enterprises in accordance with the law before the enterprise was registered, the registration authority does not need to repeatedly review whether it meets the requirements of the negative list. foreign investors or foreign-invested enterprises that invest in fields prohibited by the negative list shall not be approved for registration.
handling process:
name approval and system application: log onto first for name approval, and then select “enterprises that need pre-approval”. after the independent approval of the name is completed, enter the application page, fill in the industrial and commercial registration information and the initial report of foreign investment, and select submit to schedule an appointment.
address of record (optional):
those who do not have an actual address of record in qianhai need to obtain a temporary address from shenzhen qianhai commerce secretariat co. ltd.
follow the “前海商秘” wechat official account and provide information according to instructions for the relevant procedures. after the online review is passed, make an appointment and go to window a108 of the qianhai e-station service center to sign an address affiliation agreement.
according to the appointment time in step 1, go to the qianhai e-station service center to handle business registration and to submit required paper materials.

proof of investor qualifications
similar but different qualification requirements are based upon the origin of the investing agent: foreign investors; investors from china’s hong kong, macao and taiwan; and mainland china investors.
proof of investor qualification for foreign investors. the proof of investor qualification or identity certificate of the foreign investor submitted by the foreign-invested enterprise registration applicant to the registration authority shall be notarized by the notary office of the investor’s country and certified by the chinese embassy (consulate) in that country. if the country has no diplomatic relations with china, it should be authenticated by the embassy (consulate) of a third country that has diplomatic relations with china in that country, and then authenticated by the chinese embassy (consulate) in that third country. documents issued by overseas territories of some countries should be notarized in the territories, authenticated by the foreign diplomatic institutions of the countries, and finally authenticated by the chinese embassy (consulate) in the countries, unless otherwise provided for in international treaties concluded or acceded to by china and relevant countries. if a foreign natural person comes to china to invest through establishing an enterprise, and the identity document submitted is a permanent resident identity card of a foreigner issued by the people’s republic of china, notarization is not required.
proof of investor qualification for hong kong, macao and taiwan investors. the proof of investor qualification or identity certificate of investors from hong kong and macao special administrative regions and taiwan shall be notarized by a local notary institution in accordance with special regulations or agreements. the identity certificates of natural person investors in hong kong and macao special administrative regions are local permanent resident identity cards, passports of special administrative regions, hong kong and macao resident residence permits issued by the mainland public security departments, and travel permits to and from the mainland issued by the mainland entry-exit administration departments; notarization is not required for those who submit residence permits for hong kong and macao residents or travel permits to and from the mainland. the taiwan resident residence permit issued by the mainland public security department and the taiwan resident travel permit to and from the mainland issued by the mainland entry-exit administration department can be used as the identity certificates of natural person investors in taiwan without notarization.
if the investor is chinese, it is required to submit the business license or registration certificate of the legal person of the enterprise (1 copy, which must be affixed with the corporate seal of the legal person and marked “consistent with the original”; if the shareholder is a commercial subject in shenzhen, it is unnecessary to submit the qualification certificate).
precautions:
all signatures involved need to be signed with a black signature pen. a private seal will not be accepted.
if there are english materials on the front page of notarial certificate and passport, a translation shall be attached.
if translated by a translation company, attach a copy of the translation company’s business license with the company’s official seal;
if translated by a shareholder company, the shareholder company’s seal and a signature of the company’s authorized person are required.
